1. Scope and Order of Precedence
These terms apply to our services, including website, app, and system development; UI/UX design; hosting; technical support; maintenance; domains; and integrations. If there is a conflict, the order of precedence is: (1) a contract or agreement signed by both parties; (2) the approved statement of work, purchase order, or quotation; and (3) these general terms. Customer terms are not binding unless we expressly accept them in writing.
2. Forming an Agreement and Starting Work
We are not required to start a project or reserve team time until there is written approval of the scope, price, and key terms, and any agreed advance payment, documentation, or access has been provided. Preliminary messages or discussions do not create a final contractual commitment unless approved in writing.
3. Scope of Work and Changes
A project includes only the deliverables and services expressly stated in the approved statement of work. Any new request or change beyond the scope, review rounds, or approved assumptions is a scope change. It requires written assessment of its effect on price, timeline, and deliverables before work begins. We are not required to implement a change before it is approved in writing.
4. Fees, Payments, and Taxes
The price, currency, payment schedule, payment method, and applicable taxes or fees are set out in the approved quotation, contract, or invoice. Unless an agreement states otherwise, fees are due for work completed and costs committed for the project. The customer is responsible for bank charges and third party service, domain, hosting, and licence fees where stated in the agreement or invoice.
5. Late Payment
If a due payment is late, we may, after reasonable notice, suspend work, disable access to a non-production environment, delay delivery or launch, until payment is settled. The customer remains responsible for fees and costs due during suspension, and we may adjust the timeline to reflect the impact of the delay.
6. Customer Responsibilities and Cooperation
- Provide required content, data, materials, approvals, and access credentials on time and in a usable format.
- Ensure that the customer has all necessary rights or licences for text, images, logos, marks, data, and other material supplied to us.
- Appoint a person authorized to make decisions and approve deliverables within the agreed time.
- Review deliverables and provide consolidated, clear feedback within the period stated in the agreement or reasonably requested by us.
- Do not share credentials, API keys, or sensitive information through insecure means unless an agreed secure method is used.
7. Timelines and Delays
Any estimate or delivery date relies on stated assumptions, customer inputs, and third party responsiveness. If the customer delays required materials, approval, or payment; the scope changes; or an obstacle outside our reasonable control arises, the timeline will be fairly extended to reflect the actual impact. We are not responsible for delay caused by a third party, force majeure, government action, or general outage of services or networks.
8. Review and Acceptance
The project agreement governs the review and acceptance process and the number of revision rounds. If no objection period is stated, we may ask for feedback within a reasonable period. Delivery is accepted upon written approval, production use, or expiry of the agreed period without a material and specific objection. New requests after acceptance are outside scope unless agreed otherwise.
9. Cancellation and Termination
A project may be terminated under the process stated in the written agreement. If no process is stated, the terminating party must give reasonable written notice. On termination, we are entitled to payment for work completed, reserved time, and project costs, licences, or third party services that we have contracted for or become committed to, as set out in the agreement and applicable law. Termination does not affect rights or obligations arising before it takes effect.
10. Intellectual Property and Source Files
All of our pre-existing intellectual property, including tools, frameworks, templates, libraries, methodologies, reusable code, and know-how, remains ours. Once all amounts due for the project are paid in full, the customer receives the right to use the bespoke deliverables stated in the agreement for the agreed purpose and scope. Source files, code repositories, editable design files, and any component not expressly stated as deliverable are not transferred unless the agreement says so. Third party components remain subject to their own licences.
11. Customer Materials and Portfolio Permission
The customer retains ownership of its original materials and data and gives us a limited licence to use them as necessary to perform the service. After launch, we may show the customer name, project logo, and screenshots of deliverables in our portfolio or marketing materials unless the agreement requires confidentiality or non-disclosure. We do not use confidential customer information beyond what is required to provide the service.
12. Third Party Services and Hosting
Some services may depend on third party platforms, APIs, domains, hosting, payment gateways, or tools. Those services remain subject to their own terms, prices, availability, and changes; we are not responsible for their outage, modification, rejection, or decisions. The agreement will identify required third party services and who is responsible for their fees, accounts, and renewals.
13. Support and Maintenance
Support, maintenance, or ongoing management are not included in a development project delivery unless expressly stated. The agreement specifies the service period, scope, contact channels, response times, exclusions, and fees. Improvements, new features, and material changes require a separate scope and assessment unless otherwise agreed.
14. Confidentiality and Data Protection
Each party must protect the other party’s confidential information and not use or disclose it except to perform the agreement or where required by law. Both parties must take appropriate measures to protect access credentials and personal data. If we process personal data on behalf of the customer for a specific service, a separate data processing addendum may be required to define the roles and obligations under applicable law.
15. Warranties and Liability Limits
We provide services with reasonable professional care and skill, in accordance with the agreed scope. Unless the agreement states otherwise and to the extent permitted by law, we do not guarantee a particular commercial result or absolute compatibility with every device, browser, or third party service. We are not liable for indirect, incidental, special, or consequential loss, or loss of profit, data, or reputation. Our total liability arising from a particular project will not exceed the amounts actually paid to us for that project in the twelve months before the event giving rise to the claim; this cap does not apply where limitation or exclusion is not allowed by law.
16. Force Majeure
Neither party is responsible for delay or non-performance caused by an event beyond its reasonable control, including disaster, fire, war, government action, civil disruption, interruption of communications, power or internet services, widespread cyberattack, or third party failure. The affected party must notify the other within a reasonable time and take reasonable steps to reduce the impact.
17. Governing Law and Disputes
These terms and any service agreement are governed by the laws of the State of Qatar. The parties will first seek to resolve a dispute through good faith negotiation. If no resolution is reached, the competent courts of Qatar have jurisdiction unless the signed agreement provides another binding dispute resolution method.
18. General Terms
These terms do not create a partnership, agency, or employment relationship. The customer may not assign an agreement without our written consent. We may use suitable assistants or subcontractors while remaining responsible for our obligations. If a provision is invalid, the remaining provisions continue in effect. The written agreement for a project together with these terms forms the entire understanding for that project.
